End-User License Agreement (EULA) for WemX
This End-User License Agreement ("EULA") is a legal agreement between you, either an individual or a legal entity (hereinafter "User" or "You") and WemX (hereinafter "WemX" or "Us"). This EULA governs your acquisition, installation, and use of the WemX billing software (hereinafter referred to as the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. ACCEPTANCE OF TERMS
Your installation and use of the Software constitute acceptance of the terms of this EULA. By clicking "I Agree" during the Software installation process, or by using the Software, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms.
2. LICENSE OWNERSHIP AND LIMITATION
The Software is licensed, not sold. This means that WemX retains all ownership rights to the Software. Your license grants you the right to use the Software, but you are not entitled to sell, rent, lease, lend, or redistribute the Software, or any derivative of it. The Software is licensed for use on one (1) machine and one (1) domain only.
3. USE FOR DEVELOPMENT AND TESTING
You may use the Software on an additional domain strictly for non-commercial development and testing purposes. This domain must not be used for any production activities.
4. LICENSE KEY USAGE AND CONFIDENTIALITY
Your license key is for your use only. You may share it with a developer assisting you with the Software installation, but no other third parties. Any unauthorized sharing of the license key is a breach of this EULA.
5. PROHIBITION ON SHARING OF CORE FILES
You must not share, distribute, or disclose any core files of the Software, except for files derived from WemX's open-source GitHub repositories. Unauthorized sharing of core files constitutes a violation of this EULA.
6. SUBSCRIPTION-BASED USE
If you acquire the Software on a subscription basis, your right to use the Software is valid only for the duration of the active subscription. Once the subscription expires, your right to use the Software terminates, unless the subscription is renewed.
7. CHANGES TO EULA
WemX reserves the right to modify this EULA at any time without prior notice to you. Your continued use of the Software following any such modification constitutes your acceptance of the updated EULA.
8. SERVICE TERMINATION RIGHTS
WemX reserves the right to terminate or suspend your access to the Software at any time, without any prior notice or liability, for any reason whatsoever.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall WemX be liable for any damages arising out of the use or inability to use the Software. The User assumes all responsibility for any damages, losses, costs, or harms arising from the use of the Software.
10. EDITING AND CUSTOMIZATION
Users are granted the ability to edit and customize files associated with the WemX Software for the sole purpose of personalizing its function to their specific needs. However, any attempts to reverse engineer, remove, or tamper with our license system checkers will be considered a serious violation of this EULA. Such behavior will lead to immediate termination of the user's license and may result in further legal actions.
11. SOFTWARE LEAK LIABILITY
Should any user be found guilty of leaking, distributing, or otherwise making available the WemX Software on any unauthorized website, platform, or through other distribution channels, the user will be held accountable for their actions. The offending party will be obligated to compensate WemX for the cost of all damages incurred as a result of their past, present, or future actions, including but not limited to loss of revenue, harm to reputation, and any other related damages. Legal proceedings may be initiated to ensure the recovery of these costs.
Please carefully read and understand this EULA before installing and using the Software. Your use of the Software signifies your acceptance of these terms and conditions.
12. Compliance with Local Regulations
It is your responsibility to ensure that your use of WemX is in compliance with all local, state, national, and international laws and regulations, including but not limited to data protection laws such as the General Data Protection Regulation (GDPR) in Europe. Failure to comply with these regulations could result in penalties or legal consequences for which we cannot be held responsible. Please ensure you are familiar with and adhere to any and all laws applicable to your jurisdiction while using our software.
